Sunshine Homes Appoints Dinh Chi Hieu as New CEO and Legal Representative for Five-Year Term

Sunshine Homes Development Joint Stock Company (UPCoM: SSH) has officially announced a leadership transition, appointing Mr. Dinh Chi Hieu as its new Chief Executive Officer (CEO) and legal representative for a five-year term. Mr. Hieu steps into the role to succeed Mr. Jun Sungbae, who has concluded his tenure running the executive machinery of the prominent real estate enterprise.

According to the resolution ratified by the Board of Directors, the leadership restructuring marks a calculated operational shift for Sunshine Homes. While stepping down from his executive duties as CEO, Mr. Jun Sungbae will not sever ties with the company entirely; instead, he will continue to lend his expertise and strategic oversight by remaining an active member of the Board of Directors.

The appointment of Mr. Dinh Chi Hieu brings a seasoned executive at the helm of Sunshine Homes, aligning the company’s immediate management with the broader strategic objectives of its parent conglomerate. As the real estate sector navigates a complex economic environment characterized by regulatory adjustments, liquidity management, and shifting market demand, this transition is anticipated to streamline operations and fortify corporate governance across the firm’s overarching development pipeline.

Executive Profile and Extensive Leadership Footprint

Born in 1977 and originally from Hanoi, Mr. Dinh Chi Hieu possesses an extensive management background across multiple industry sectors, including real estate, technology, media, and investment. Prior to taking the reins at Sunshine Homes, Mr. Hieu established a robust career track record within the corporate ecosystem of Sunshine Group, the parent corporation currently holding a dominant 99.96% stake in Sunshine Homes. Within the group, Mr. Hieu concurrently serves as Deputy General Director, actively orchestrating the conglomerate’s high-level strategic expansions.

Mr. Hieu’s administrative portfolio extends far beyond the core real estate domain. He holds critical leadership positions across a diverse network of enterprises, acting as the General Director and Chairman of the Board of Directors at Unicloud Technology Group, as well as holding the position of General Director at Unicloud Technology Investment Company. Furthermore, his administrative reach encompasses the media and entertainment sector, where he serves as the Chairman of the Board of Directors of ODE Media and Entertainment Group.

His corporate responsibilities also include serving as Deputy Director of Vietnet Investment and Technology Company, alongside holding the position of Chairman of the Board of Members at Kim Thanh Trading Company and Cam Dinh Ecological Investment Company. Despite his commanding presence and multifaceted executive responsibilities across these affiliated entities, official corporate disclosures indicate that Mr. Hieu does not personally hold any equity shares in Sunshine Homes. His leadership role is thus defined by professional executive management rather than significant personal equity ownership.

Transition of the Predecessor and Broader Personnel Shifts

Mr. Jun Sungbae, born in 1985, had previously assumed the responsibilities of CEO and legal representative of Sunshine Homes in March 2025. During his tenure, Mr. Jun navigated the company through a challenging post-pandemic recovery phase for Vietnam’s property market, focusing on project continuity and operational adjustments. Following the recent Board resolution, Mr. Jun transitions back to a non-executive governance role on the Board of Directors, ensuring institutional memory and continuity remain intact during the handoff.

The elevation of Mr. Hieu and the lateral move of Mr. Jun are part of a broader wave of personnel restructuring that has characterized Sunshine Homes’ administrative machinery over the past year. Earlier in the operational calendar, the company recorded multiple structural shifts at the senior management level. In February, Mr. Phan Anh Long stepped down from his position as Deputy General Director, a departure subsequently followed by Ms. Nguyen Thi Hong Hanh, who relinquished her role as Deputy General Director in June.

At the highest tier of corporate governance, the Board of Directors also underwent notable composition changes mid-year. In May, Mr. Nguyen Nam Viet officially departed from the Board of Directors. Concurrently, the company reinforced its governance framework by appointing Ms. Le Thao Linh as an independent member of the Board of Directors, underscoring a commitment to bolstering independent oversight and aligning with elevated corporate governance standards.

Strategic Capital Injections and Subsidiary Expansion

Beyond internal management realignments, Sunshine Homes has been actively executing robust financial and structural strategies to expand its asset portfolio and secure long-term operational capabilities. A primary focus of these corporate maneuvers involves the strategic development and capitalization of its subsidiaries, most notably the Xuan La Investment Construction Joint Stock Company.

Earlier, the Board of Directors of Sunshine Homes approved a comprehensive capital-raising and equity-acquisition plan centered around Xuan La, targeting an investment scale of approximately VND 2,300 billion. Established in September 2016 and headquartered within the Sunshine Center building at No. 16 Pham Hung Street, Nam Tu Liem District, Hanoi, Xuan La operates as a key vehicle for real estate development, with Sunshine Homes currently holding a commanding 97% ownership stake in the enterprise.

Under the approved issuance framework, Xuan La planned to offer approximately 238.5 million shares to existing shareholders at a par value of VND 10,000 per share, aiming to raise roughly VND 2,385 billion. Successful execution of this capital mobilization plan is projected to exponentially expand Xuan La’s charter capital from its baseline of VND 780 billion to an impressive VND 3,165 billion.

Participation and Underwriting Commitments

Demonstrating strong institutional backing for the subsidiary’s expansion, Sunshine Homes formally registered to purchase approximately 231 million shares out of the total offering, translating to a capital commitment exceeding VND 2,313 billion.

In the event that other minority shareholders choose not to exercise their subscription rights—or opt to only partially execute them—Sunshine Homes retains the strategic flexibility to acquire an additional block of nearly 7.2 million shares, valued at roughly VND 72 billion. The final volume of shares successfully absorbed by the parent company will ultimately depend on the turnout of minority shareholder participation and the final execution of Xuan La’s share distribution methodology.

This massive capital-raising campaign is slated for deployment through 2026. Industry analysts view the cash injection as a critical measure designed to replenish liquidity reserves, strengthen the balance sheet, and aggressively expand the land bank necessary to sustain Sunshine Homes’ upscale real estate pipeline. By securing robust financial backing for its subsidiaries, the corporate leadership aims to insulate the business against external market headwinds while positioning the brand to capture future demand waves in the residential and commercial property segments.

Market Implications and Future Outlook

The simultaneous restructuring of executive leadership under Mr. Dinh Chi Hieu and the aggressive pursuit of capital-backed subsidiary expansion signal a decisive new phase for Sunshine Homes. As Vietnam’s real estate market undergoes a structural transition toward greater transparency, rigorous legal compliance, and tighter liquidity controls, companies with agile governance models and well-capitalized backing are expected to lead the recovery cycle.

The appointment of a veteran executive with deep cross-sector management experience like Mr. Hieu suggests that Sunshine Homes is positioning itself for closer integration with the broader digital and technological ecosystems promoted by Sunshine Group and its affiliates, such as Unicloud. By leveraging technological synergies and streamlined corporate governance, the enterprise aims to enhance operational efficiency across its signature luxury residential developments.

As the new CEO and legal representative takes charge of the day-to-day operations for the next half-decade, stakeholders and investors will closely monitor how these leadership changes translate into project execution, financial performance, and sustainable value creation within an increasingly competitive property landscape.
